New England Pantry, Inc.-- was formed to purchase the Master Franchise Rights and certain related assets of 53 convenience stores franchised under the "White Hen Pantry" name in the New England area. The Company's franchised stores operate under franchise agreements in which the franchisee pays a royalty based on the store's merchandise sales volume. The White Hen Pantry operation is a long established retailer in the Midwest and New England regions of the United States. The 53 stores are located throughout Massachusetts. The stores are generally located in densely populated, suburban areas on sites that provide easily access to customers. Relm Wireless Corporation (NMS: RELM)-designs, manufactures and markets wireless communication equipment consisting of land mobile radios ("LMR's") and base station components and systems. Relm sells its products under the "BK Radio," "Uniden" and "RELM" brand names. The products are marketed toward the government and public safety sectors, as well as to business, industrial and commercial customers. LMR communications consist of hand-held (portable) and mobile (vehicle mounted) two-way radios commonly used by the public safety sector (e.g., police, fire and emergency medical personnel), businesses and government agencies within the U.S. and abroad. LMR usage is characterized by frequent calls of short duration, which are different from cellular or other wireless forms of communication. LMR is a mature industry, having been in existence for over 70 years. However, due to the lack of available spectrum, the FCC ace_eaves3: has mandated that LMR be more spectrum efficient. This will effectively require LMR users to migrate to new digital systems. As a result, traditional market relationships could be disrupted creating opportunities for companies who can develop these systems. |
